Terms of Service

Effective September 23, 2026

These terms are an agreement between Codzee LLC and the organization using Codzee. By installing the Codzee GitHub App, signing in, or paying for a plan, you agree to them. Please read sections 5 (billing and renewals), 7 (AI output) and 12 to 13 (warranties and liability) with care.

1. The agreement

These Terms of Service (“Terms”) are between Codzee LLC, a Wyoming limited liability company (“Codzee”, “we”, “us”) and the organization that uses the Service (“you”). If you accept them on behalf of an organization, you confirm that you have authority to bind it. Our Privacy Policy explains how we handle information and forms part of these Terms.

2. The Service

Codzee reviews pull requests on GitHub, routes them to reviewers, and provides a dashboard, reports and Ask Codzee (the “Service”). The Service works through your GitHub account, so your use is also subject to GitHub’s terms. We may improve and change the Service over time; if we remove a feature that is material to a paid plan, we will tell you in advance.

3. Eligibility and accounts

The Service is for business and professional use only, not for consumers. You must be at least 18 to use it. You are responsible for your account, for the people you give access to, and for everything done through your account. Tell us promptly at support@codzee.io if you suspect unauthorized use.

4. Plans, allowances and trials

  • Our plans (Free, Team, Growth and Enterprise) and their prices are listed on our pricing page. Each plan includes a monthly allowance of PR reviews: every time Codzee reviews a pull request or a new push to it counts as one. Allowances reset on the 1st of each month (UTC), and reviews that fail do not count.
  • On paid plans, reviews continue for a grace of 20% beyond the allowance and then pause until the allowance resets or you move to a larger plan. On the Free plan, reviews stop at the allowance. There are no overage charges.
  • A new installation may receive a 14-day free trial of the Team plan, limited to one trial per person and one per repository. When a trial ends without a subscription, the account moves to the Free plan.

5. Fees, billing and automatic renewal

  • Paid plans renew automatically at the end of each monthly or annual billing period, at the then-current price, until you cancel. Fees are charged in advance through our payment processor, Stripe.
  • You can cancel at any time from Manage billing in the dashboard. Cancellation takes effect at the end of the period you have paid for, and your plan stays active until then.
  • We do not give refunds for partial periods, except where the law requires it. We may choose to give a refund at our discretion.
  • Prices exclude taxes, which you are responsible for where applicable. We will give you at least 30 days’ notice of a price change, which applies from your next renewal.
  • If a payment fails, we may retry it, and we may downgrade or suspend a paid plan that remains unpaid.

6. Your content

You keep all rights in your code, pull requests and other content (“Your Content”). You grant us a limited license to access, process, store and transmit Your Content only as needed to provide the Service, including sending code changes to our AI provider to produce reviews. We do not use Your Content to train AI models. We may use aggregated, de-identified usage information, such as review counts, to operate and improve the Service. You confirm that you have the rights needed to let us process Your Content this way.

7. AI output

Codzee’s reviews, summaries, suggested fixes and answers are generated by AI and may be inaccurate, incomplete or wrong. Codzee does not guarantee that it will find every bug, vulnerability or other issue, and it is not a substitute for your own code review, testing or security audits. You are responsible for evaluating suggestions and for the code you merge and deploy.

8. Acceptable use

You agree not to:

  • use the Service unlawfully, or to process content you do not have the right to use;
  • probe, breach or disrupt the Service’s security, or access other customers’ data;
  • reverse engineer, decompile or copy the Service, except where the law expressly permits it;
  • resell or sublicense the Service, or use it to build a competing product;
  • get around plan allowances or trial limits, for example by creating accounts to obtain more trials;
  • overload the Service, or use it in a way that harms other customers.

9. Suspension and termination

You may stop using the Service and uninstall the GitHub App at any time. We may suspend or end your access if you do not pay, breach these Terms, or put the Service or others at risk; where reasonable, we will warn you first and give you a chance to fix the problem. After termination, you may ask us to export your data within 30 days; after that we delete it as described in our Privacy Policy.

10. Confidentiality

We treat Your Content as confidential and use it only to provide the Service. We disclose it only to the service providers listed in our Privacy Policy, as needed to run the Service, or when the law requires it.

11. Feedback

If you send us suggestions or feedback, we may use them without any obligation to you.

12. Disclaimer of warranties

The Service is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement, and we do not promise that the Service will be uninterrupted or error-free.

13. Limitation of liability

To the fullest extent the law allows, neither party is liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for all claims relating to the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim, or US$100 if you have not paid us. These limits do not apply where the law does not allow them.

14. Indemnity

You will defend and indemnify Codzee against third-party claims arising from Your Content, including content you do not have the right to process, or from your breach of these Terms.

15. Export controls and sanctions

You may not use the Service in violation of US export control or sanctions laws, including from a sanctioned country or region or as a person on a US government restricted list.

16. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict of law rules. The state and federal courts located in Wyoming have exclusive jurisdiction over any dispute relating to these Terms or the Service, and both parties consent to their jurisdiction.

17. Changes to these Terms

We may update these Terms. We will post changes here and update the effective date, and for material changes we will notify account owners at least 30 days before they take effect. If you keep using the Service after changes take effect, the updated Terms apply.

18. General

These Terms, with the Privacy Policy and any order form we sign with you, are the entire agreement between us about the Service. If any part is found unenforceable, the rest remains in effect. Not enforcing a right is not a waiver of it. You may not assign these Terms without our consent; we may assign them in a merger or acquisition. Neither party is responsible for delays caused by events beyond its reasonable control. Notices to us go to support@codzee.io and our address below.
